•    Managing US/CAN/PR corporate books, making sure they are kept up-to-date;
•    State compliance filings (handled internally and by registered agent).  Coordinate with registered agent to ensure accurate annual report/other state level filings for the US and Puerto Rico.  Paper filing records to be maintained properly.
•    Close coordination with DSV US companies to ensure local level filings are handled in a timely manner and paper filing records maintained properly.
•    Work closely with Canada Counsel on Canadian federal and provincial filings. Paper filing records to be maintained properly. 
•    Preparing annual meeting minutes/resolutions, other corporate/legal documents and correspondence as and when required.  Arranging for said documents to be validated by appropriate groups and executed accordingly;
•    Keeping and updating organization chart, directors/officers grid.  Updated directors/officers information to be distributed to Management, respective group companies and registered agent as and when available;
•    Upload corporate (legal/finance) documents for US/CAN/PR to Group Company Registry;  
•    Upload corporate (legal/finance) documents for US/CAN/PR to shared drive K;
•    Keeping logs of all compliance filings;
•    Processing of vendor invoices relating to compliance filings/legal matters;
•    Managing claims/litigations filed against DSV – direct to appropriate party for immediate attention/action;
•    Reporting of claims and litigations to Encompass – monthly updating;
•    Assist VP-Finance in lease related document review; upload signed lease related documents to shared drive K;
•    Assist the finance and accounting teams as and when needed;
•    Handling special projects as and when needed.

Requirements & Qualifications:

• Must have 3-5 years of paralegal experience in
•    Bachelor’s degree required
• Must have knowledge of federal and state court filing requirements
• Must be highly motivated, organized, detail oriented, and is able to work independently 
• Must have excellent written and verbal communication skills along with great interpersonal skills
• Must be computer savvy with working knowledge of Microsoft Word, Excel and Outlook
